JSC Uralkali and its subsidiaries and affiliated companies from time to time (“Uralkali”) provide this web site and other related or linked Uralkali web sites (the “Site”) and certain services, interfaces and functionality on or via the global Site or via any correspondence by e-mail between Uralkali and you (the “Services”) to you subject to your agreement to comply with the terms of use set out herein (the “General Terms”). Your use of the Site or Services will constitute your acceptance of the General Terms. Once accepted, the General Terms will constitute a binding agreement between Uralkali and you governing your use of the Site and the Services. If you are not willing to abide by the General Terms in full, please refrain from using the Site and the Services immediately.

Uralkali processes information about you in accordance with its privacy policy (the “Privacy Policy”). By using the Site, you consent to such processing and you warrant that all data provided by you is accurate.

Uralkali may revise and update the General Terms and the Privacy Policy at any time and without notice. By accessing the Site you are accepting that you are bound by the current General Terms and Privacy Policy and so you should check these each time you visit the Site. Certain provisions of the General Terms may be superseded by expressly designated terms located on particular pages on the Site.

The viewing of the Site or use of the Services may not be lawful in certain jurisdictions. Any person who wishes to view the Site or use the Services must first satisfy themselves that they are not subject to any laws or regulations which prohibit or restrict them from doing so. While Uralkali endeavours to ensure that the Site and the Services are normally available 24 hours a day, Uralkali shall not be liable if for any reason the Site is unavailable at any time or for any period. Ownership of intellectual property rights

The Site and the materials published in it (together, the “Protected Materials”), including but not limited to text, photographs and other images and sound, data, software, graphics and logos, are protected by copyright (including as a compilation or a database), trade mark, database and other intellectual property laws of the Russian Federation and other countries around the world, as well as by international treaties and conventions. Unless otherwise stated, all rights in the Protected Materials are owned by Uralkali or its licensors. Other than as set out in the paragraph below on “Use of the Site”, the Protected Materials may not be used in any way without the prior written authorization of Uralkali. Any rights not expressly granted in these General Terms are reserved. If you breach any of the terms in these General Terms, your permission to use the Site automatically terminates and you must immediately destroy any downloaded or printed extracts from the Site.

Use of the Site

You may only use the Site for your personal, non-commercial use. You may not link to the Site without prior written permission from Uralkali. You may download and print one copy of content on the Site for your personal non-commercial use, or in connection with your purchase of any Uralkali products, provided that you leave any copyright or trademark information intact and unchanged and that you make no further copies of your download or printed copy. You agree to abide by all applicable copyright, trademark and other intellectual property laws and with all additional copyright and trademark notices, information and restrictions contained in any portion of the Site. Uralkali’s status (and that of any identified contributors) as the author of material on the Site must always be acknowledged. Visitor materials and conduct

Other than personally identifiable information, which is covered under our Privacy Policy, any material you transmit or post to the Site shall be considered non-confidential and non-proprietary. Uralkali shall have no obligations with respect to such material. Uralkali and its designees shall be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes.

Should any part of the Site offer you the opportunity to join in or read from a forum, please be aware that any communications posted on any such forum represent the views of the individual who posted such communication and are not to be taken as the views of Uralkali. Uralkali accepts no responsibility or liability for anything posted on any such forum by any user of the forum.

Uralkali shall fully co-operate with any law enforcement authorities or court order requesting or directing Uralkali to disclose the identity or locate anyone posting any material in breach of this paragraph “Visitor materials and conduct”.

Jurisdiction

Your use of the Site and the operation of the General Terms shall be governed in accordance with the laws of England and Wales. The English courts shall have exclusive jurisdiction over any dispute arising out of or in connection with your use of the Site or the Services. By accessing the Site or using the Services you expressly submit to the exclusive jurisdiction of the English courts. This paragraph shall operate solely for the benefit of Uralkali and accordingly Uralkali shall be entitled to take proceedings in any other court or courts having jurisdiction.
